Terms & Conditions.

Gilrex is operated by 3980 Ventures FZCO · Last updated: 12 October 2026

1. Introduction, definitions and acceptance

These Terms & Conditions (“Terms”) govern access to the Gilrex website and the provision of Gilrex brand protection services. Gilrex is a brand operated by 3980 Ventures FZCO (“Gilrex”, “we”, “us” or “our”).

In these Terms:

  • “Customer” means the business entity that subscribes to the Services.
  • “Services” means the monitoring, investigation, review and enforcement services described in these Terms and in the applicable Order.
  • “Order” means any written proposal, order form or commercial agreement accepted by both parties.
  • “Agreed Scope” means the brands, trademarks, digital properties and channels covered by the Services, as set out in the Order or otherwise agreed in writing.
  • “Enforcement Action” means a complaint, notice, report or request submitted to a Third-Party Platform in connection with suspected infringement or abuse.
  • “Third-Party Platform” means any social network, messaging service, website host, domain registrar, marketplace, app store, search engine or other third party that makes its own decisions about content, accounts or services.

By signing an Order, subscribing to or using the Services, the Customer accepts these Terms. The individual accepting these Terms confirms that they are authorised to bind the Customer. The Services are provided to businesses only and are not intended for consumers.

2. Service provider

The Services are provided by 3980 Ventures FZCO, a company registered with the International Free Zone Authority (IFZA), located in Dubai Silicon Oasis, Dubai, United Arab Emirates. Gilrex is a brand of 3980 Ventures FZCO and is not a separately incorporated company.

3. Description of services

Gilrex provides managed digital brand protection. Within the Agreed Scope, the Services may include monitoring digital channels for suspected impersonation, phishing, counterfeits, scams, fraudulent tokens, domain abuse and other infringement; investigating and documenting suspected threats; human review; and preparing and submitting Enforcement Actions. The channels and properties covered are those set out in the Order.

4. AI-powered monitoring and threat detection

Gilrex uses multiple layers of automated and AI-based systems to scan for potential threats on a continuous basis. Automated detection may produce false positives and may not identify every instance of infringement. Gilrex does not warrant that all infringing content, accounts or websites will be detected. References to 24/7 monitoring describe the continuous operation of these systems and are subject to Section 19.

5. AI-supported investigation and evidence gathering

Potential threats are analysed and classified with the support of AI systems. Gilrex may collect evidence such as screenshots, URLs, account details, domain information and related metadata. AI-generated analysis is used to support human decision-making and does not constitute legal advice.

6. Human review and takedown enforcement

Before an Enforcement Action is submitted, a Gilrex brand protection specialist reviews the available evidence. Gilrex decides whether an Enforcement Action is appropriate, having regard to the evidence, applicable law and the relevant Third-Party Platform’s policies, and may decline to submit an action that is not adequately supported. Gilrex may consult the Customer before acting where clarification or additional documentation is needed.

7. Customer authorisation and intellectual property ownership

The Customer represents that it owns, or is authorised to enforce, the intellectual property and other rights within the Agreed Scope. The Customer authorises Gilrex, on a limited and non-exclusive basis, to act on its behalf solely to investigate suspected infringement and to prepare and submit Enforcement Actions within the Agreed Scope.

Gilrex may require letters of authorisation, proof of rights or other documentation before acting. Gilrex has no authority to make claims, commence proceedings or make commitments on the Customer’s behalf beyond the authorisation granted.

8. Customer responsibilities

The Customer agrees to:

  • provide accurate and complete information about its brands, official accounts and digital properties;
  • supply documentation evidencing its rights when requested;
  • respond to reasonable requests for information or confirmation in a timely manner;
  • promptly notify Gilrex of changes to the Agreed Scope, including new brands or any loss of rights; and
  • use the Services lawfully and in accordance with these Terms.

9. Subscription fees and payment terms

The Services are provided for a flat monthly subscription fee agreed individually with each Customer and set out in the Order. Unless otherwise agreed in the Order, fees are billed monthly. No volume-based charges apply to eligible Enforcement Actions within the Agreed Scope.

Invoicing timing, payment due dates and accepted payment methods are as stated in the Order or invoice.

10. Automatic monthly renewal

Subscriptions renew automatically for successive monthly periods until cancelled in accordance with Section 11.

11. Cancellation and notice

  • The Customer may cancel its subscription by giving at least one month’s written notice.
  • The Services remain active during the notice period, and subscription fees remain payable for that period.
  • Cancellation takes effect at the end of the applicable notice period, after which the subscription will not renew.
  • Where a separately signed commercial agreement expressly provides otherwise, that agreement takes precedence over these standard billing terms.

12. Unlimited scanning and takedown policy

Gilrex provides unlimited eligible scanning, investigations and Enforcement Actions for a flat subscription fee. Under this policy:

  • no additional volume-based fee applies to eligible Enforcement Actions;
  • coverage applies to the brands, digital properties and channels within the Agreed Scope;
  • the Customer must own, or be authorised to represent, the relevant intellectual property rights;
  • Gilrex may investigate, prepare evidence, submit complaints and pursue the enforcement processes made available by Third-Party Platforms;
  • removal decisions are ultimately made by Third-Party Platforms, hosting providers, registrars, marketplaces or other third parties, and successful removal is not guaranteed;
  • Enforcement Actions must comply with applicable law and the relevant platform policies;
  • litigation, external legal representation, court fees and services outside the Agreed Scope are not included unless agreed in writing; and
  • Gilrex acts only within the authorisation granted under Section 7.

An Enforcement Action is “eligible” where it falls within the Agreed Scope, is supported by adequate evidence and can be pursued lawfully.

13. Scope limitations and exclusions

Unless expressly agreed in writing, the Services do not include:

  • litigation, arbitration or other formal legal proceedings;
  • legal advice or external legal representation;
  • court, filing or official fees;
  • trademark registration or other rights-registration services;
  • brands, properties or channels outside the Agreed Scope; or
  • recovery of funds, assets or damages.

14. Third-party platforms and enforcement outcomes

Third-Party Platforms make their own decisions on Enforcement Actions according to their own policies and timelines. Gilrex does not control those decisions and does not guarantee that any content, account, domain or listing will be removed, the timing of any removal, or that removed material will not reappear. Gilrex is not responsible for the acts or omissions of Third-Party Platforms. Within the Agreed Scope, Gilrex may resubmit, escalate or continue to monitor for reappearance where appropriate.

15. Acceptable use

The Customer must not use, or ask Gilrex to use, the Services to submit false or misleading claims; to target lawful criticism, commentary, parody, news reporting or fair competition; to harass any person; or in any way that breaches applicable law or the rights of others. Gilrex may refuse any request it reasonably believes would breach this Section.

16. Confidentiality

Each party will keep the other’s non-public business information confidential and use it only for the purposes of the Services, except where disclosure is required by law or the information is already public through no fault of the receiving party. The Customer acknowledges that Enforcement Actions require information to be disclosed to Third-Party Platforms, which may share complaint details with the party complained about under their own policies.

17. Intellectual property rights

Gilrex and 3980 Ventures FZCO retain all rights in their technology, software, methods, website and materials. The Customer retains all rights in its own intellectual property and grants Gilrex a limited licence to use its names, marks and materials solely to provide the Services. Reports provided to the Customer may be used for its internal business purposes.

18. Data handling and privacy

Personal data is handled as described in the Privacy Policy. Evidence gathered during the Services may include personal data relating to suspected infringers, which is processed for the purpose of identifying and addressing infringement. Where Gilrex processes personal data on the Customer’s behalf, the parties will agree data processing terms where required by applicable law.

19. Service availability and disclaimers

Gilrex will use commercially reasonable efforts to provide the Services continuously. The Services may be affected by maintenance, third-party outages, changes to Third-Party Platforms or events beyond Gilrex’s reasonable control. To the extent permitted by applicable law, the Services are provided without warranties other than those expressly stated in these Terms, including any warranty of complete detection or successful removal.

20. Limitation of liability

To the extent permitted by applicable law, neither party will be liable for indirect or consequential loss arising out of these Terms. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.

21. Suspension and termination

Gilrex may suspend the Services, after written notice where practicable, if fees remain unpaid when due, if the Customer materially breaches these Terms, or if continued provision would be unlawful or would breach Section 15. Either party may terminate for material breach by the other that is not remedied within a reasonable period after written notice. Fees accrued up to the effective date of termination remain payable.

22. Changes to the Services and these Terms

Gilrex may update the Services from time to time. Gilrex may also revise these Terms; the revised version will be published on this page with an updated date. Material changes will be notified to existing Customers in advance. Where a signed Order conflicts with these Terms, the Order prevails to the extent of the conflict.

23. Governing law and dispute resolution

These Terms are governed by the applicable federal laws of the United Arab Emirates and the laws of the Emirate of Dubai. The parties will first try to resolve any dispute in good faith. Any dispute that cannot be resolved in this way will be subject to the jurisdiction of the competent courts of Dubai.
